3.3 Delivery Times

Estimated delivery times are provided in good faith but are not guaranteed. Delays may occur due to project complexity, client revisions, or unforeseen circumstances.

3.4 Revisions

Minor revisions are included within 7 days of delivery. Substantial changes or revisions requested after this period may incur additional charges.

4. Client Responsibilities

Clients are responsible for:

• Providing clear, legible source materials
• Specifying target audience and intended use
• Providing necessary context and reference materials
• Reviewing translations promptly
• Making timely payments as agreed
• Ensuring legal right to translate copyrighted materials

5. Pricing and Payment

5.1 Pricing

Pricing is determined based on factors including language pair, complexity, urgency, and volume. Quotes are valid for 30 days unless otherwise specified.

5.2 Payment Terms

Payment terms are Net 30 days from invoice date unless otherwise agreed. For large projects, we may require partial payment upfront.

5.3 Late Payment

Late payments may incur interest charges of 1.5% per month. We reserve the right to suspend services for overdue accounts.

6. Intellectual Property

6.1 Client Materials

Clients retain all rights to their original materials. We claim no ownership over client content.

6.2 Translation Rights

Upon full payment, clients receive rights to use the translated materials as agreed. We retain the right to use translations for quality improvement and training purposes.

6.3 Company Property

Our translation processes, methodologies, and proprietary tools remain our intellectual property.

7. Confidentiality

We maintain strict confidentiality regarding all client materials and information. Our translators and staff are bound by confidentiality agreements. We can provide additional Non-Disclosure Agreements (NDAs) upon request.

8. Limitation of Liability

Our total liability for any claim arising from our services shall not exceed the total amount paid for the specific project in question. We are not liable for:

• Indirect, consequential, or punitive damages
• Loss of profits or business opportunities
• Damages arising from client's use of translations
• Third-party claims against client

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that our services will be performed with professional skill and care consistent with industry standards.

9.2 Disclaimers

Except as expressly stated, we provide services "as is" without warranties of any kind. We disclaim all implied warranties including merchantability and fitness for a particular purpose.

10. Cancellation and Termination

10.1 Client Cancellation

Clients may cancel projects with 24 hours notice. Charges apply for work completed prior to cancellation.

10.2 Company Termination

We may terminate services for non-payment, breach of terms, or if client materials violate laws or ethical standards.

11. Force Majeure

We are not liable for delays or failures caused by circumstances beyond our control, including natural disasters, government actions, strikes, or technical failures.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of England and Wales.

12.2 Jurisdiction

Any disputes shall be resolved in the courts of England and Wales.

12.3 Alternative Resolution

We encourage resolving disputes through direct communication. If necessary, we agree to participate in mediation before pursuing litigation.

13. Data Protection

We process personal data in accordance with UK GDPR and our Privacy Policy. Client materials are handled securely and confidentially.

14. Modifications to Terms

We may update these Terms periodically. Continued use of our services after changes constitutes acceptance of modified Terms. We will notify clients of significant changes.

15. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any project-specific agreements, constitute the entire agreement between parties.
